SEND Token Sunset & Loyalty Card – Terms and Conditions

These Terms and Conditions (“Terms”) govern your voluntary participation in the sunsetting of the SEND token (“SEND”), including any irreversible burn of SEND tokens and the optional receipt of a non-transferable on-chain acknowledgment artifact (the “Loyalty Card”).

These Terms are issued by SEND Technology Corporation, a company incorporated in the Republic of Panama (“SEND”, “we”, “us”, or “our”).

By interacting with the burn process, sending SEND tokens to a burn address, or receiving a Loyalty Card, you confirm that you have read, understood, and agreed to be bound by these Terms.

SEND is discontinuing SEND as a publicly supported token.

Participation in the burn process is entirely voluntary. You are under no obligation to burn SEND, and no action is required from you.

SEND makes no representation or assurance that:

• SEND will continue to exist,
• SEND will retain value,
• SEND will maintain liquidity,
• or SEND will be supported in the future.

You expressly acknowledge and agree that:

• SEND is not offering securities, derivatives, investment contracts, or any regulated financial product.
• Burning SEND does not constitute an investment, contribution, or purchase of any kind.
• The Loyalty Card:
  • is not a security,
  • does not represent equity, ownership, governance, profit-sharing, or voting rights,
  • does not guarantee any future token issuance, equity allocation, distribution, airdrop, or economic benefit.

Any references to “future access,” “consideration,” or “participation” are non-binding, purely discretionary, and may be modified or withdrawn at any time.

Nothing in this process constitutes financial, legal, or investment advice.

All SEND burns are permanent, irreversible, and final.

You are solely responsible for:

• verifying wallet addresses,
• understanding blockchain mechanics,
• executing transactions correctly.

SEND bears no responsibility or liability for:

• user error,
• incorrect transactions,
• smart contract behavior,
• wallet compromise,
• network congestion or failure,
• third-party infrastructure issues.

Once SEND is burned, no refunds, reversals, replacements, or compensation will be provided under any circumstances.

The Loyalty Card, if issued:

• is a non-transferable on-chain record acknowledging participation,
• has no intrinsic value,
• provides no enforceable rights,
• may be modified, discontinued, or rendered unusable at any time.

SEND makes no guarantee regarding:

• the longevity,
• availability,
• functionality,
• or future relevance of the Loyalty Card.

SEND makes no warranties or guarantees, express or implied, regarding:

• present or future value of SEND,
• market conditions,
• regulatory treatment,
• future products, tokens, or equity,
• timing, size, or existence of any potential future initiative.

Any future benefits, if offered, are entirely discretionary and may never materialize.

You expressly assume all risks associated with participation, including but not limited to:

• total or partial loss of value,
• opportunity cost,
• market volatility,
• regulatory changes,
• protocol changes or discontinuation,
• smart contract vulnerabilities.

You acknowledge that you may lose some or all value associated with SEND.

To the maximum extent permitted by applicable law:

• SEND shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to SEND, the burn process, or the Loyalty Card.
• SEND’s total aggregate liability shall not exceed zero (0).
• You irrevocably waive any right to bring claims, class actions, representative actions, or collective proceedings against SEND or its affiliates.

You are solely responsible for:

• determining whether participation is lawful in your jurisdiction,
• complying with all applicable laws and tax obligations.

SEND does not provide legal, tax, or regulatory advice.

SEND reserves the right, at its sole discretion, to:

• modify these Terms,
• pause or terminate the burn process,
• discontinue issuance or recognition of Loyalty Cards,
• suspend or shut down related interfaces.

Changes take effect upon publication.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to conflict-of-law principles.

By proceeding, you explicitly confirm that:

• participation is voluntary,
• no promises or guarantees have been made,
• you act entirely at your own risk,
• you release SEND and all related parties from present and future liability.
